慧联云控服务协议（修改）

【广州市邦普电脑技术开发有限公司】(以下简称“邦普公司”)依据以下条件和条款为您提供所享有的服务，请仔细阅读并遵守。 欢迎阅读【邦普公司】服务条款协议(下称“本协议”)。本协议阐述之条款和条件适用于您使用【慧联云控】中国站（所涉域名为 ：hlyk-cloud.com，下同），所提供的在中国区域内工商用设备物联控制的各种工具和服务(下称“服务”)。

一、接受条款

1. 本协议内容包括协议正文及所有【慧联云控】已经发布或将来可能发布的各类规则。所有规则为协议不可分割的一部分，与协议正文具有同等法律效力。
2. 以任何方式进入【慧联云控】中国区并使用服务即表示您已充分阅读、理解并同意接受本协议的条款和条件(以下合称“条款”)。
3. 【邦普公司】有权根据业务需要酌情修订“条款”，并以网站公告的形式进行更新，不再单独通知予您。经修订的“条款”一经在【慧联云控】中国区公布，即产生效力。如您不同意相关修订，请您立即停止使用“服务”。如您继续使用“服务”，则将视为您已接受经修订的“条款”，当您与【邦普公司】发生争议时，应以最新的“条款”为准。

二、注册

1. 服务使用对象
   您确认，在您完成注册程序或以其他【邦普公司】允许的方式实际使用服务时，您应当是具备完全民事权利能力和与所从事的民事行为相适应的行为能力的自然人、法人或其他组织。若您不具备前述主体资格，请勿使用服务，否则您及您的监护人应承担因此而导致的一切后果，且【邦普公司】有权注销（永久冻结）您的账户，并向您及您的监护人索偿。如您代表一家公司或其他法律主体在【邦普公司】中国区登记，则您声明和保证，您有权使该公司或该法律主体受本协议“条款”的约束。
2. 帐户类型：【慧联云控】服务平台内对所有帐号进行了严格组织分类，请您根据您的实际业务情况，选择您合适组织类型。
   
   • 【设备制造厂商组织】（以下简称厂商）：具备设备制造生产，及售后服务能力的合法企业组织，并承诺在【慧联云控】中国区内向您的客户提供设备物联网服务及相关扩展服务。
   • 【厂商维保组织】（以下简称厂商维保）：由【厂商】创建，具备工商用设备维修保养能力的合法企业组织；其在【慧联云控】中国站的行为代表其所属【厂商】的行为，并由【厂商】承担相关法律责任。
   • 【设备使用组织】（以下简称设备用户）：最终购买或使用（即通过购买方式取得设备所有权）的法人、事业单位或个人；即设备最终所有权拥有者。
   • 【用户授权维保组织】（用户维保）：具备工商用设备维修保养能力的合法企业组织；以【设备用户】共享设备的方式获取对应设备的【慧联云控】中国区的相关工具和服务。
3. 注册账户
   • 在您按照注册页面提示填写信息、阅读并同意本协议且完成全部注册程序后，或在您按照激活页面提示填写信息、阅读并同意本协议且完成全部激活程序后，您即受本协议的约束。
   • 您可以对账户设置的组织帐号、组织名称、内部帐号、内部用户名称，但您的这些设置不得侵犯或涉嫌侵犯他人合法权益。如您的这些设置涉嫌侵犯他人合法权益，【邦普公司】有权终止向您提供服务，并注销您的账户。
   • 在完成注册或激活流程时，您应当按照法律法规要求，按相应页面的提示准确提供并及时更新您的资料，以使之真实、及时，完整和准确。如有合理理由怀疑您提供的资料错误、不实、过时或不完整的，【邦普公司】有权向您发出询问及/或要求改正的通知，如您不能及时纠正，【邦普公司】有权中止、终止对您提供部分或全部【慧联云控】设备物联服务，【邦普公司】对此不承担任何责任，您将承担因此产生的任何直接或间接损失及不利后果。
   • 【厂商】，【用户维保】：您同意在您注册完成后，向【邦普公司】提供适当资料以认证您的合法身份，且在审核认证通过后，方可使用【慧联云控】相关工具与物联网服务。

三、账户安全

您须自行负责对您的组织帐号、组织内部子帐号和密码下发生的所有活动（包括但不限于信息披露、发布信息、网上点击同意或提交各类规则协议、网上续签协议或购买服务等）承担责任。您同意：

1. 如发现任何人未经授权使用您的组织帐号、组织内部子帐号和密码，或发生违反保密规定的任何其他情况，您会立即通知【邦普公司】或您的【厂商】；
2. 确保您在每个上网时段结束时，以正确步骤离开web或移动应用。【邦普公司】不能也不会对因您未能遵守本款规定而发生的任何损失或损毁负责。您理解【邦普公司】对您的请求采取行动需要合理时间，【邦普公司】对在采取行动前已经产生的后果（包括但不限于您的任何损失）不承担任何责任。
3. 【厂商】，【用户维保】：除非有法律规定或司法裁定，且征得【邦普公司】的同意，否则，您的组织帐号、组织内部子帐号和密码不得以任何方式转让、赠与或继承。
4. 【厂商维保】：除非有法律规定或司法裁定，且征得所属【厂商】的同意，否则，您的组织帐号、组织内部子帐号和密码不得以任何方式转让、赠与或继承。

四、服务终止

1. 【厂商】：您同意，在【邦普公司】未向您收费的情况下，【邦普公司】可自行全权决定以任何理由(包括但不限于【邦普公司】 认为您已违反本协议的字面意义和精神，或您以不符合本协议的字面意义和精神的方式行事)终止您的“服务”密码、账户(或其任 何部份)或您对“服务”的使用。您同意，在【邦普公司】向您收费的情况下，【邦普公司】应基于合理的怀疑且经电子邮件通知的 情况下实施上述终止服务的行为。您进一步承认和同意，【邦普公司】根据本协议规定终止您服务的情况下可立即使您的账户无效， 或注销您的账户以及在您的账户内的所有相关资料和档案，和/或禁止您进一步接入该等档案或“服务”。账户终止后，【邦普公司】 无须为您保留原账户中或与之相关的任何信息，或转发任何未曾阅读或发送的信息给您或第三方。此外，您同意，【邦普公司】不 会就终止向您提供“服务”而对您或任何第三者承担任何责任。
2. 您有权向【邦普公司】要求注销您的账户，经【邦普公司】审核同意的，【邦普公司】将注销您的账户（包括您的组织内部帐号）， 届时，您与【邦普公司】基于本协议的合同关系即终止。您的账户被注销后，【邦普公司】没有义务为您保留或向您披露您账户中 的任何信息，也没有义务向您或第三方转发任何您未曾阅读或发送过的信息。
3. 您理解并同意，您与【邦普公司】的合同关系终止后：
   • 【邦普公司】有权继续保存您的资料。
   • 您在使用服务期间存在违法行为或违反本协议和/或规则的行为的，【邦普公司】仍可依据本协议向您主张权利。
   • 您在使用服务期间因使用服务与其他组织帐号之间发生的关系，不因本协议的终止而终止，其他组织仍有权向您主张权利，您应继续按您的承诺履行义务。

五、组织帐号的注销

1. 如您的账户同时符合以下条件，您的组织帐号（登录名）可能被注销，不能再登陆【慧联云控】网站或移动应用， 所有【慧联云控】内的服务将同时终止： （1）连续6个月未登录过【慧联云控】网站或使用移动应用； （2）不 存在未到期的有效业务。
2. 您同意并授权【慧联云控】网站，如您在【慧联云控】服务平台内有欺诈、发布或销售伪劣商品、侵权他人合法 权益或其他严重违反任意【慧联云控】规则的行为，您的组织帐号可能被注销，不能再登录【慧联云控】，所有 【慧联云控】内的服务同时终止。

六、关于费用

1. 【设备制造厂商组织】：【邦普公司】保留通知您后收取“服务”费用的权利。如您未及时交付设备物联网服务费 用，【邦普公司】保留在无须发出书面通知，暂时或永久地更改或停止部分或全部“服务”的权利。同时，【邦普 公司】授权您向您的【厂家维保】、您的客户【设备用户】收取【慧联云控】设备物联服务费用。
2. 【厂家维保】：【邦普公司】不向您收取【慧联云控】平台服务其他费用，即不存在与你直接收费的服务项目。
3. 【设备用户】：您直接向您的【厂商】支付相关设备物联网费用，除此之外，【邦普公司】的【慧联云控】平台 仅依据与【厂商】的具体设备购买服务，覆行约定服务。

七、平台服务和地位

1. 通过【慧联云控】提供的平台服务，您可以在【慧联云控】网站上发布物联网设备及服务、查询你所属设备、完全 设备生命周期中设备调试、交付、使用、维修保养、转让等业务过程。
2. 【慧联云控】旨在作为一个第三方服务，向工商用设备生命周期中【厂商】、【厂商维保】、【设备用户】、【用 户维保】提供一个统一、完整、安全、公平的一站式工商级设备物联网云服务。
3. 【慧联云控】以不破坏行业产业链为基本准则，仅与【厂商】或【用户维保】直接提供服务与服务支持，并收取费用。

服务使用规范

关于您的资料的规则

1. “您的资料”包括您在注册、发布信息或设备资料、设备维保记录，故障信息等，向【慧联云控】或其他组织提供的 任何资料 ，包括数据、文本、软件、音乐、声响、照片、图画、影像、词句或其他材料。您应对“您的资料”负全部 责任，而【慧联云控】仅作为您物联网平台上发布和刊登“您的资料”的被动渠道。
2. 您同意并承诺，“您的资料”和您提供在【慧联云控】上的任一种设备与服务:
   • 不会有欺诈成份，与售卖伪造或盗窃无涉；
   • 不会侵犯任何第三者对该物品享有的物权，或版权、专利、商标、商业秘密或其他知识产权，或隐私权、名誉权；
   • 不会违反任何法律、法规、条例或规章(包括但不限于关于规范出口管理、凭许可证经营、贸易配额、保护消费 者、不正当竞争或虚假广告的法律、法 规、条例或规章)、本协议及相关规则；
   • 不会含有诽谤（包括商业诽谤）、非法恐吓或非法骚扰的内容；
   • 不会含有淫秽、或包含任何儿童色情内容；
   • 不会含有蓄意毁坏、恶意干扰、秘密地截取或侵占任何系统、数据或个人资料的任何病毒、伪装破坏程序、电脑蠕虫、定时程序炸弹或 其他电脑程序；
3. 您同意，包括但不限于在未经【慧联云控】事先书面批准的情况下，不得复制在【慧联云控】网站上展示的任何资料并用于商业用途。

九、您授予的许可使用权

您完全理解并同意不可撤销地授予【慧联云控】平台服务下列权利：

1. 【厂商】：对于您提供的资料，您授予【邦普公司】在【慧联云控】平台内免费的许可使用权利（向您的关联【厂商维保】、【设备 用户】提供服务）。
2. 【厂商】：当您违反本协议或与【邦普公司】签订的其他协议的约定，【邦普公司】有权以任何方式通知，对您的权益采取限制措施 包括但不限于中止、终止对您提供部分或全部服务。
3. 【厂商】、【设备用户】：您在设备安全控制上操作，代表您授予或收回关联方对设备访问控制权限的许可。

十、隐私信息与业务信息

尽管有第九条所规定的许可使用权，但基于保护您的隐私信息与业务信息安全是【慧联云控】物联网云平台的一项基本原则，为此【慧联 云控】还将尽力保护您的隐私信息,业务信息不在平台外部及内部泄漏。

1. 【慧联云控】将保护您的隐私信息，仅限您及您的内部帐号能获取，除此不向外公开发布。
2. 隐私信息与业务信息定义：您组织的非公开信息或您所创建设备信息中的非公开信息均为隐私信息。

十一、责任范围和责任限制

1. 您明确理解和同意，【邦普公司】不对因下述任一情况而发生的任何损害赔偿承担责任，包括但不限于利润、商誉、使用、数据等方 面的损失或其他无形损失的损害赔偿：(i)使用或未能使用“服务”；(ii)因通过或从“服务”购买或获取任何货物、样品、数据、资料 或服务，或通过或从“服务”接收任何信息或缔结任何交易所产生的获取替代货物和服务的费用；(iii)未经批准接入或更改您的传输 资料或数据；(iv)任何第三者对“服务”的声明或关于“服务”的行为；或(v)因任何原因而引起的与“服务”有关的任何其他事宜，包括 疏忽。
2. 【邦普公司】会尽一切努力使您在使用【慧联云控】平台的过程中得到乐趣与价值。遗憾的是，【邦普公司】不能随时预见到任何技术 上的问题或其他困难。该等困难可能会导致数据损失或其他服务中断。为此，您明确理解和同意，您使用“服务”的风险由您自行承担， 且“服务”以“按现状”和“按可得到”的状态提供。【邦普公司】明确声明不作任何种类的明示或暗示的保证，包括但不限于关于适销性、 适用于某一特定用途和无侵权行为等方面的保证。【邦普公司】对下述内容不作保证：(i)“服务”会符合您的要求；(ii)“服务”不会 中断，且适时、安全和不带任何错误；(iii)通过使用“服务”而可能获取的结果将是完全准确或完全可信赖的；及(iv)您通过“服务” 而购买或获取的任何产品、服务、资料或其他材料的质量将符合您的预期。您从【慧联云控】平台或通过或从“服务”获取的任何口头或 书面意见或资料，均不产生未在本协议内明确载明的任何保证责任。

十二、赔偿

您同意，如因您违反本协议或经在此提及而纳入本协议的其他文件，或因您违反法律侵害了第三方的合法权利，或因您违反法律须承担行政 或民事或刑事责任，而使第三方或行政、司法机关对【邦普公司】提出索赔或处罚要求（包括司法费用和其他专业人士的费用），您必须全 额赔偿给【邦普公司】，并使其等免遭损失。

十三、通知

1. 您应当准确填写并及时更新您提供的电子邮件地址、联系电话、联系地址、邮政编码等联系方式，以便【邦普公司】或其他组织与您进 行有效联系，因通过这些联系方式无法与您取得联系，导致您在使用【慧联云控】服务过程中产生任何损失或增加费用的，应由您完全 独自承担。您了解并同意，您有义务保持你提供的联系方式的有效性，如有变更需要更新的，您应按【慧联云控】的要求进行操作。
2. 除非另有明确规定，任何您与【邦普公司】之间的通知应以电子邮件形式发送，(就您而言)发送到您在登记注册过程中向【慧联云控】 提供的电子邮件地址，或有关方指明的其他地址。在电子邮件发出24小时后，通知应被视为已送达。如发送人被告知相关电子邮件地址 已作废，【慧联云控】可通过邮资预付挂号邮件并要求回执的方式，将通知发到您在登记过程中向【慧联云控】提供的地址。在该情况 下，在付邮当日3天后通知被视为已送达。
3. 基于保密与业务协议，【邦普公司】仅与【厂商】、【用户维保】组织有直接业务关系，故您同意【邦普公司】可向【厂家维保】， 【设备用户】发出【慧联云控】系统的内部消息、平台维护类通知。

十四、不可抗力

对于因【邦普公司】合理控制范围以外的原因，包括但不限于自然灾害、罢工或骚乱、物质短缺或定量配给、暴动、战争行为、政府行为、 通讯或其他设施故障或严重伤亡事故等，致使【邦普公司】延迟或未能履约的，【邦普公司】不对您承担任何责任。

十五、法律适用、管辖及其他

1. 本协议之效力、解释、变更、执行与争议解决均适用中华人民共和国大陆地区法律，如无相关法律规定的，则应参照通用国际商业惯例和 （或）行业惯例。
2. 您与【邦普公司】仅为独立订约人关系。本协议无意结成或创设任何代理、合伙、合营、雇佣与被雇佣或特性授权与被授权关系。
3. 您同意【邦普公司】因经营业务需要有权将本协议项下的权利义务就部分或全部进行转让，而无须取得您的同意。但邦普公司会将转让 情况告知您。
4. 本协议不会取代您和【邦普公司】先前就相同事项订立的书面协议。倘若本协议任何条款被裁定为无效或不可强制执行，该项条款应被 撤销，而其余条款应予遵守和执行。条款标题仅为方便参阅而设，并不以任何方式界定、限制、解释或描述该条款的范围或限度。【邦 普公司】未就您或其他人士的某项违约行为采取行动，并不表明【邦普公司】放弃该等追究的权利。
5. 因本协议产生的或与本协议有关的争议，协议各方应协商解决；协商不成或不愿协商的，一致同意提交邦普公司所在地有管辖权的法院诉讼解决。”

HuiLian Cloud Control Service Agreement (Revised)

Guangzhou Punp Computer Technology Co., Ltd. (hereinafter referred to as “Punp”) provides services to you under the following terms and conditions. Please read carefully and comply. Welcome to read the Punp Terms of Service Agreement (the “Agreement”). The Agreement sets forth the terms and conditions that apply to your use of the tools and services for industrial and commercial equipment IoT control provided by the HuiLian Cloud Control China site (domain: hlyk-cloud.com, hereinafter the “Services”).

1. Acceptance of Terms

1. The Agreement consists of the main text and all rules that HuiLian Cloud Control has issued or may issue in the future. All rules are an integral part of the Agreement and have the same legal effect as the main text.
2. By accessing the HuiLian Cloud Control China site and using the Services in any way, you acknowledge that you have fully read, understood and agree to be bound by the Agreement (collectively, the “Terms”).
3. Punp may revise the Terms at its discretion based on business needs and will update them by website announcement without separately notifying you. The revised Terms take effect once published on the HuiLian Cloud Control China site. If you do not agree with the revisions, you should immediately stop using the Services. If you continue using the Services, you will be deemed to have accepted the revised Terms. In the event of any dispute, the latest Terms shall prevail.

2. Registration

1. Eligible Users
   You confirm that when completing the registration process or otherwise using the Services allowed by Punp, you are a natural person, legal person or other organization with full civil rights capacity and corresponding capacity for civil conduct. If you do not have such qualifications, do not use the Services; otherwise, you and your guardian shall bear all consequences, and Punp has the right to cancel (permanently freeze) your account and seek compensation from you and your guardian. If you register on behalf of a company or other legal entity, you represent and warrant that you are authorized to bind such entity to the Agreement.
2. Account Types: All accounts on the HuiLian Cloud Control platform are strictly categorized by organization. Choose the organization type that fits your business:
   • Manufacturer Organization (“Manufacturer”): A legally established enterprise that has equipment manufacturing and after-sales service capabilities, and undertakes to provide IoT services and related extended services to customers within China via HuiLian Cloud Control.
   • Manufacturer Maintenance Organization (“Manufacturer Maintenance”): Created by a Manufacturer, a legally established enterprise capable of maintaining industrial/commercial equipment; its actions on the China site represent those of the affiliated Manufacturer, and the Manufacturer bears corresponding legal responsibility.
   • Equipment User Organization (“Equipment User”): A legal entity, institution or individual that ultimately purchases or uses equipment (obtains ownership by purchase); i.e., the ultimate owner of the equipment.
   • User-Authorized Maintenance Organization (“User Maintenance”): A legally established enterprise capable of maintaining industrial/commercial equipment; accesses relevant tools and services in the China site through equipment sharing granted by an Equipment User.
3. Account Registration
   • After you fill in the information as prompted on the registration page, read and agree to the Agreement, and complete all registration steps, or complete all activation steps on the activation page, you will be bound by the Agreement.
   • You may set your organization account, organization name, internal account and internal username, but such settings shall not infringe or be suspected of infringing others’ lawful rights. If suspected infringement exists, Punp may terminate the Services to you and cancel your account.
   • When completing registration or activation, you shall, as required by laws and regulations, provide accurate information and update it in a timely manner to ensure truthfulness, timeliness, completeness and accuracy. If there is a reasonable suspicion that the information you provided is erroneous, untrue, outdated or incomplete, Punp may inquire and/or require corrections. If you fail to correct in time, Punp may suspend or terminate part or all IoT services. Punp shall bear no responsibility, and you shall bear any direct or indirect losses and adverse consequences.
   • Manufacturer, User Maintenance: You agree to provide appropriate documents to verify your legal identity after registration. Only upon approval can you use related tools and IoT services.

3. Account Security

You are responsible for all activities under your organization account, internal sub-accounts and passwords (including but not limited to disclosure of information, posting information, online acceptance or submission of rules or agreements, contract renewal or purchase of services). You agree:

1. If unauthorized use of your account, sub-accounts or password is discovered or any breach of confidentiality occurs, you will immediately notify Punp or your Manufacturer.
2. Ensure you properly sign out of the web or mobile application at the end of each session. Punp is not responsible for any loss resulting from failure to comply. You understand that it takes reasonable time for Punp to act on your request and Punp will not be responsible for any consequences arising before such action is taken.
3. Manufacturer, User Maintenance: Unless required by law or court order and with Punp’s consent, your account, sub-accounts and passwords may not be transferred, gifted or inherited in any way.
4. Manufacturer Maintenance: Unless required by law or court order and with consent of the affiliated Manufacturer, your account, sub-accounts and passwords may not be transferred, gifted or inherited in any way.

4. Termination of Services

1. Manufacturer: You agree that if Punp does not charge you, Punp may, at its sole discretion, terminate your Services password, account (or any part thereof) or your use of the Services for any reason (including but not limited to Punp’s belief that you have violated the letter and spirit of the Agreement). If Punp charges you, it may take such termination measures based on reasonable suspicion and by email notice. You further acknowledge that upon termination of the Services, Punp may immediately invalidate your account, delete your account and all related information and files in your account, and/or prohibit further access to such files or the Services. After termination, Punp is not obligated to retain or disclose any information in or related to your account, or to forward any unread or unsent information to you or third parties. In addition, Punp shall not be liable to you or any third party for termination of the Services.
2. You have the right to request cancellation of your account. Upon Punp’s approval, Punp will cancel your account (including internal accounts), and your contractual relationship with Punp under the Agreement will terminate. After cancellation, Punp is not obligated to retain or disclose any information in your account, nor forward any unread or unsent information.
3. Upon termination of your contractual relationship with Punp:
   • Punp may continue to retain your information.
   • If you have engaged in illegal conduct or violated the Agreement and/or rules during your use of the Services, Punp may still assert its rights under the Agreement.
   • Relationships between you and other accounts formed during use of the Services are not terminated due to the termination of the Agreement. Other organizations may still assert rights against you, and you shall continue to perform your obligations.

5. Account Cancellation

1. If your account meets all of the following conditions, your organization account (login name) may be canceled and you will no longer be able to log in to the website or mobile app, and all Services will terminate: (1) no login for 6 consecutive months; (2) no valid business remains in effect.
2. You agree and authorize that if you engage in fraud, sell counterfeit goods, infringe others’ rights, or seriously violate any platform rules, your organization account may be canceled and all Services terminated.

6. Fees

1. Manufacturer: Punp reserves the right to charge for the Services upon notice. If you fail to pay IoT service fees in a timely manner, Punp reserves the right, without written notice, to change or suspend part or all of the Services temporarily or permanently. Punp also authorizes you to charge your Manufacturer Maintenance and your Equipment Users for the IoT services.
2. Manufacturer Maintenance: Punp does not charge you other platform service fees; there are no Services directly charged to you.
3. Equipment User: You pay relevant IoT fees directly to your Manufacturer. Apart from this, the platform only performs the agreed services according to the specific device purchase services with the Manufacturer.

7. Platform Services and Status

1. Through the platform Services, you can publish IoT equipment and services, query your devices, and manage the business processes across the device lifecycle such as commissioning, delivery, operation, maintenance, and transfer.
2. The platform aims to serve as a third-party service to provide a unified, complete, secure and fair one-stop enterprise-grade IoT cloud service for Manufacturers, Manufacturer Maintenance, Equipment Users, and User Maintenance throughout the equipment lifecycle.
3. The platform adheres to the principle of not disrupting the industry value chain, and provides services and support directly only to Manufacturers or User Maintenance and charges fees accordingly.

Service Usage Rules

Rules regarding your information

1. “Your Information” includes any data, text, software, music, sound, photos, graphics, videos, statements or other materials you provide to the platform or other organizations during registration, posting information or device data, maintenance records, fault information, etc. You are solely responsible for your Information, and the platform acts only as a passive channel for posting and publishing your Information.
2. You agree and warrant that your Information and any equipment and services you provide on the platform:
   • Will not be fraudulent or related to counterfeit or stolen goods;
   • Will not infringe any third party’s property rights, copyright, patent, trademark, trade secrets or other intellectual property rights, or privacy or reputation rights;
   • Will not violate any laws, regulations, ordinances or rules (including but not limited to those related to export control, licensed operation, trade quotas, consumer protection, unfair competition or false advertising), the Agreement or related rules;
   • Will not contain defamatory (including commercial defamation), illegal threats or illegal harassment;
   • Will not contain obscene or any child pornography content;
   • Will not contain any viruses, disguised destructive programs, worms, time bombs or other computer programs intended to damage, maliciously interfere with, secretly intercept or expropriate any system, data or personal information;
3. You agree that, without prior written approval, you will not copy and use for commercial purposes any materials displayed on the HuiLian Cloud Control website.

9. License You Grant

You fully understand and irrevocably grant the platform the following rights:

1. Manufacturer: For the information you provide, you grant Punp a free license to use such information within the platform (to provide services to your affiliated Manufacturer Maintenance and Equipment Users).
2. Manufacturer: If you violate the Agreement or other agreements with Punp, Punp may notify you by any means and impose restrictions on your rights, including but not limited to suspending or terminating part or all Services.
3. Manufacturer, Equipment User: Your operations in device security control represent that you grant or revoke access permissions to affiliated parties.

10. Privacy and Business Information

Notwithstanding the license in Section 9, protecting your privacy and business information is a fundamental principle of the platform. We will endeavor to protect your privacy and business information from leakage both inside and outside the platform.

1. The platform will protect your privacy information so that only you and your internal accounts can access it; it will not be publicly disclosed otherwise.
2. Definition of privacy and business information: Non-public information of your organization or non-public information within devices you create constitutes privacy information.

11. Scope and Limitation of Liability

1. You expressly understand and agree that Punp shall not be liable for any damages, including but not limited to loss of profits, goodwill, use, data or other intangible losses, resulting from: (i) use of or inability to use the Services; (ii) the cost of procurement of substitute goods and services resulting from any goods, samples, data, materials or services purchased or obtained through or from the Services, or any information received or transactions entered into through or from the Services; (iii) unauthorized access to or alteration of your transmissions or data; (iv) statements or conduct of any third party on the Services; or (v) any other matter relating to the Services, including negligence.
2. Punp will make every effort to ensure you gain value and enjoyment from using the platform. Unfortunately, Punp cannot foresee all technical issues or other difficulties that may arise, which may result in data loss or service interruptions. You agree that you use the Services at your own risk and that the Services are provided on an “as is” and “as available” basis. Punp expressly disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose and non-infringement. Punp does not warrant that: (i) the Services will meet your requirements; (ii) the Services will be uninterrupted, timely, secure or error-free; (iii) the results that may be obtained from the use of the Services will be completely accurate or reliable; (iv) the quality of any products, services, data or other material purchased or obtained by you through the Services will meet your expectations. Any oral or written advice or information obtained by you from the platform shall not create any warranty not expressly stated in the Agreement.

12. Indemnification

You agree to indemnify Punp in full and hold it harmless from any claims or penalties (including legal fees and other professional fees) brought by third parties or administrative/judicial authorities due to your violation of the Agreement or other documents incorporated by reference, or your violation of laws infringing on the legitimate rights of third parties, or your liability under administrative, civil or criminal law.

13. Notices

1. You shall accurately fill in and update your contact information (email address, phone number, address, postal code) in a timely manner so that Punp or other organizations can contact you effectively. You are solely responsible for any loss or increased costs arising from failure to contact you via such contact information. You understand and agree that you are obligated to keep your contact information valid and to update it as required by the platform.
2. Unless otherwise expressly provided, any notices between you and Punp shall be sent by email to the address provided by you during registration, or to another address designated by the relevant party. Notices are deemed delivered 24 hours after the email is sent. If the sender is informed that the email address is invalid, the platform may send a notice by prepaid registered mail with return receipt to the address you provided during registration. In such case, the notice is deemed delivered three days after mailing.
3. Based on confidentiality and business agreements, Punp has direct business relationships only with Manufacturers and User Maintenance organizations. You agree that Punp may send internal messages or platform maintenance notices to Manufacturer Maintenance and Equipment User organizations.

14. Force Majeure

Punp shall not be liable to you for any delay or failure to perform due to reasons beyond its reasonable control, including but not limited to natural disasters, strikes or riots, material shortages or rationing, uprisings, acts of war, governmental actions, communication or other facility failures, or serious accidents.

15. Governing Law, Jurisdiction and Miscellaneous

1. The validity, interpretation, modification, performance and dispute resolution of the Agreement shall be governed by the laws of the People’s Republic of China (Mainland). Where there are no relevant provisions, international commercial practices and/or industry practices shall apply.
2. You and Punp are independent contracting parties. The Agreement is not intended to create any agency, partnership, joint venture, employment or franchise relationship.
3. You agree that Punp, due to business needs, has the right to assign some or all of the rights and obligations under the Agreement without your consent. Punp will notify you of such assignment.
4. The Agreement does not supersede any prior written agreement between you and Punp regarding the same subject matter. If any clause of the Agreement is determined to be invalid or unenforceable, that clause shall be removed, and the remaining clauses shall be observed and enforced. Clause headings are for convenience only and do not define, limit, explain or describe the scope or extent of the clauses. Punp’s failure to act with respect to a breach by you or others does not waive its right to act with respect to subsequent or similar breaches.
5. Any dispute arising from or related to the Agreement shall be resolved by negotiation. If negotiation fails or either party is unwilling to negotiate, both parties agree to submit the dispute to a court with jurisdiction where Punp is located.
